Intel has announced a $15 billion underwritten public offering of common stock to fund its foundry expansion. The deal includes a 30-day option for underwriters to buy an additional $2.25 billion in shares, bringing the total potential value to $17.25 billion.
JPMorgan, Goldman Sachs, Morgan Stanley, and Citigroup are acting as joint book-running managers. CEO Lip-Bu Tan stated that the capital raise is driven by demand for AI compute investments. The offering is expected to result in a 3% share dilution for investors.
Following the announcement, Intel's stock price dropped as the market reacted to the dilution. The massive capital injection is critical for the company's long-term strategy to scale its manufacturing capabilities and compete in the global semiconductor market.
